Description:

Lone Star Legal Search is working on an exclusive Corporate Paralegal search for FisherSMB, a leading national retirement plan advisory practice that manages retirement plans for small and medium sized employers and their employees. We are seeking a professional with strong experience in contract administration, corporate governance, entity management, regulatory compliance, and transactional support. This position will report to the Associate Vice President Legal, and the hire will be the first-in Paralegal.

Qualifications:

  • Associate degree required, bachelor's degree preferred
  • Minimum 5 years of corporate paralegal experience
  • Paralegal Certificate from an ABA-approved program
  • NALA Certified Paralegal (CP) or Advanced Certified Paralegal (ACP)
  • Notary Public (Texas)
  • Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel), DocuSign, and Adobe Sign
  • Familiarity with tools such as Entity Keeper, SharePoint, Westlaw, JIRA (or willingness to learn)
  • Strong knowledge of corporate law and entity structures
  • Exceptional organizational, communication, and time management skills
  • High attention to detail and ability to manage multiple priorities
  • Professionalism and discretion in handling confidential information


Key Responsibilities:

Contract Administration

  • Draft, review, and manage various contracts including NDAs, vendor, service, commercial lease, and intercompany agreements.
  • Maintain contract database and ensure timely renewals and compliance tracking.

Entity Management

  • Organize and maintain records for multiple entities.
  • Entity formation, maintenance, dissolution, and compliance.
  • Maintain entity databases and organizational charts.
  • Ensure entities are in good standing in various jurisdictions.

Corporate Governance

  • Assist with secretary of state filings, organizational documents, bylaws, minutes, resolutions, stock certificates and business licenses.
  • Support governance processes across multiple entities.

Regulatory Compliance

  • Research and support compliance with ERISA, Investment Advisors Act, and other regulations.
  • Assist with licensing and registration for affiliated entities.

Transactional Support

  • Provide due diligence and documentation support for various corporate transactions.
  • Coordinate signature processes.
